Danium Purchase Waiver

By purchasing any products from Danium Inc., you (the "Buyer") explicitly acknowledge, understand, and agree to the following terms and conditions:

1. Strict Research Use Designation

All products sold by Danium Inc., including but not limited to laboratory-grade peptides, are intended strictly for in-vitro (outside of living organisms) laboratory research, educational purposes, or scientific evaluation. These products are not intended or approved for human use, subcutaneous, intravenous, or intramuscular injection, ingestion, inhalation, topical application, diagnostic use, therapeutic use, or administration to animals. You acknowledge that any widespread or internet-popularized use of research compounds for personal wellness does not alter its status as an uncharacterized research chemical.

2. Assumption of Risk

You acknowledge that these compounds are research chemicals and may not have been fully evaluated for safety, toxicity, or efficacy in biological systems. You assume full responsibility for determining the suitability of the products for your intended lawful research purposes and voluntarily assume all inherent risks associated with the receipt, transportation, storage, handling, laboratory use, testing, disposal, or misuse of the products.

3. Comprehensive Waiver of Liability

You hereby release, waive, discharge, and covenant not to sue Danium Inc., its owners, directors, officers, employees, and affiliates from any and all liability, claims, demands, actions, or causes of action arising out of or related to any loss, damage, injury (including catastrophic injury), illness, or medical complication (including death) that may be sustained by you or any third party resulting from the purchase, storage, misuse, negligent handling, failure to store or handle the compounds according to the appropriate laboratory safety protocols, administration or other unauthorized use, or alleged negligence involving these products. This waiver applies to actions taken by the Buyer or any third party, whether or not the Buyer authorized or was aware of such misuse.

4. Indemnification

The Buyer agrees to indemnify, defend (with legal counsel reasonably acceptable to Danium Inc.), and hold completely harmless Danium Inc., its owners, directors, officers, employees, and affiliates from and against any and all claims, losses, liabilities, damages, judgments, settlements, costs, and expenses—including, without limitation, actual legal fees, court costs, and expert witness fees—arising out of, resulting from, or in any way connected to the handling, storage, possession, use, application, resale, or disposal of the purchased products. This absolute obligation to indemnify and defend applies to any use, exposure, storage, handling, and disposal of the products and any form of negligence by the Buyer and any third party, including but not limited to the Buyer’s employees, associates, guests, family members, roommates, friends, or any unauthorized individual who gains access to the product, regardless of whether or not such access or misuse was authorized, known, or facilitated by the Buyer.

Furthermore, the Buyer explicitly agrees to indemnify and defend Danium Inc. against any losses resulting from a breach of the Buyer’s representations, warranties, or covenants made within this Agreement. The Buyer’s obligations under this section shall trigger immediately upon the threat or filing of any legal action, shall apply regardless of the legal theory advanced—whether sounding in contract, product liability, or the alleged sole or concurrent negligence of Danium Inc. to the fullest extent permitted by applicable law—and shall fully survive the termination or completion of the transaction.

5. Buyer Representations and Compliance

You warrant and represent that:

• You are at least 18 years of age or the legal age of majority in your jurisdiction, whichever is greater.
• You possess the necessary technical expertise, laboratory equipment, training, and safety protocols to handle research-grade compounds safely.
• You possess a dedicated laboratory environment equipped with standard safety apparatuses (including chemical containment, proper disposal systems, and personal protective equipment) suitable for handling uncharacterized and biological chemical reagents.
• You will store all purchased compounds securely and strictly restricted from access by the general public, minors, or any unauthorized individuals. The Buyer assumes sole, absolute, and exclusive responsibility for any failure to secure these compounds, including full liability for any unauthorized access, property damage, personal injury, or any adverse outcomes resulting therefrom.
• You will comply with all applicable local, state, federal, and international laws, regulations, and guidelines regarding the possession and use of these materials.

6. Severability

If any provision, clause, or sub-section of this Waiver of Liability is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such determination shall not affect the validity or enforceability of any other provision herein. The remaining portions shall continue in full force and effect.

7. Disclaimer of Warranties

Danium Inc. provides all products strictly on an "AS IS" and "AS AVAILABLE" basis. Danium Inc. explicitly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Governing Law and Jurisdiction

This Agreement shall be governed by, and construed in accordance with, the laws of the Province of Ontario, without regard to its conflict of law principles. The Buyer explicitly agrees that any legal action, suit, or proceeding arising out of or relating to this Agreement or the products purchased shall be brought exclusively in the appropriate courts located in the Province of Ontario, Canada.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Danium Inc.'s aggregate liability arising from or relating to any purchase shall not exceed the purchase price actually paid for the specific product giving rise to the claim. In no event shall Danium Inc. be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, business interruption, or loss of opportunity.

10. Electronic Acceptance

You acknowledge that electronically accepting this Agreement by selecting the required acceptance mechanism constitutes your legal signature and agreement to be bound by all terms contained herein. 

By completing your order, you affirm that you have read, fully understand, and voluntarily accept all terms of this Waiver of Liability and understand that these terms govern your possession, handling, and any subsequent use or disposal of the product.
